L.B Hayes Ltd (Cropwatch) – Standard Conditions of Sale

1. Prices

  • Prices can be changed by the seller before delivery by giving notice to the buyer.

2. Payment

  • Payment is due 30 days after delivery unless agreed otherwise.
  • 1.5% interest per month is charged on late payments.
  • Legal action starts if full payment isn’t received within 3 months.

3. Acceptance & Cancellation

  • Placing an order = acceptance of terms.
  • Cancellations must be in writing and approved by the seller.

4. Delivery

  • Seller delivers to buyer’s address or specified location.
  • Delivery times are estimates.
  • Buyer assumes risk if not present to sign for goods.

5. Return of Goods

  • Returns allowed within 3 months, with prior approval and 10% handling charge.
  • Goods must be resellable (valid shelf life required).

6. Warranty

  • Seeds will comply with UK regulations and match the ordered variety.
  • If defective, the seller may exchange or refund.

7. Special Treatments

  • Seller follows treatment instructions but accepts no responsibility for treatment effectiveness or damage.

8. Force Majeure

  • Neither party liable for delays caused by uncontrollable events (e.g., strikes, fire, weather).
  • Allows for cancellation or delay extensions.

9. Default

  • Seller may suspend or terminate the contract if:
    • Buyer fails to pay
    • Buyer breaches contract
    • Buyer becomes insolvent or bankrupt

10. Farm Saved Seed

  • Buyer must comply with all legal obligations related to saved seed and plant breeder rights.
  • No saving or reuse of hybrid seeds without consent.

11. Latent Defect

  • Seed is a biological product affected by external factors.
  • Seller does not guarantee seed will be free from latent defects.

12. Retention of Title

  • Seller retains ownership until full payment is received.
  • Risk transfers upon delivery.
  • Seller may reclaim goods in case of insolvency.

13. Limitation of Liability

  • Seller not liable for:
    • Crop failure due to natural causes
    • Profit or business losses
    • Improper use of hazardous materials
  • Advice given by seller is non-binding.

14. Claims

  • Buyer must prove defects with documented evidence.
  • Claims for visible damage must be reported within 7 days.
